Trust Account Services (Escrow/Paymaster Services)

Attorney trust services (otherwise known as, “escrow services”) are useful in commercial transactions, especially where the parties may not know each other. In many commodity transactions, the parties are faced with the classic “chicken or the egg” problem. Does the buyer send the money for the goods first and hope to receive those goods as represented? Or does the seller send the goods and hope to get paid the agreed upon amount? This problem is especially magnified where there are brokers or intermediaries involved in the transaction who have their own interests to protect.

The solution is to use a trusted law firm escrow agent to receive the purchased monies from the buyer and pay the seller, and any necessary and authorized third parties, once the contractual terms have been complied with and the parties authorize the disbursal of the money. Law firms are often chosen for this complicated task because lawyers are regulated by state licensing authorities, thereby providing assurance to the parties that the monies paid to escrow will be disbursed as agreed upon.

Escrow services are especially useful in international transactions where it is much more difficult to pursue a legal remedy against a non-performing, or even fraudulent, party. Escrow services are commonly used in the international purchase and sale of a wide range of commodities. The lawyer’s primary job is to ensure the terms of the underlying sales and purchase agreements are complied with. In other words, the buyer gets the specified product as contracted, and the seller gets the agreed upon purchase price. In addition, authorized intermediaries are paid by the lawyer, ensuring that they receive their fee.

The lawyers at ATG Law take the responsibility of serving as a paymaster/escrow agent very seriously. Our number one goal is to ensure that payments are handled with integrity in accordance with the agreed upon procedures as described in the Underlying contractual documents.

How to Become A Client

Complete the client information sheet (CIS) form. Answer all the questions as  thoroughly as possible and attach the requested information including a copy of your passport. This document must be completed in full. If a line item does not pertain, then insert the term: “N/A” (non-applicable).

Upon receipt of your CIS, we will conduct our due diligence background check. Assuming you pass that background check, we will move on to the next step in the intake procedure. Please note that our due diligence requirements are ongoing so we will continue to do due diligence investigations on all our clients and all parties to a particular transaction. Note if you are an established client, you will be required to resubmit your CIS once every 12 months or whenever any significant information changes occur. We are subject to strict FINCEN requirements maintaining accurate and comprehensive information on all our clients.

After we upload all your data into our system, we will send you an Attorney-Client Agreement. The purpose of the Attorney-Client Agreement is to formally establish the attorney client relationship. We only work with clients of ATG Law.

Every prospective client of ATG law must participate in a video conference with the appropriate representative of ATG law. This can be done on Zoom, Teams, Webex, Facetime or any other appropriate video conferencing system. We will work with you around your time zone to schedule the video conference at a mutually agreeable time.

Sign the Attorney-Client Agreement and pay the required $2,500, refundable*, file set up fee. Once completed you are now a client of ATG Law. Please provide us all relevant transactional documents as they become available to you including all purchase and sale agreements, fee agreements, and other relevant documents.

Prior to closure of your transaction but after we have received all the necessary contractual documents, we will prepare an Attorney Services Trust Agreement (also referred to as a Paymaster Agreement) that will describe with specificity the details of the transaction and the exact amounts of incoming monies and required disbursements.

ATG Law will release its banking information and coordinates just prior to the execution of the Attorney Trust Services Agreement.

We Keep Your Information Confidential

At ATG Law Group we take maintaining the confidentiality of your identity and all your information very seriously. At ATG we use the SmartVault encrypted security system to receive and store all your information and documents related to your transaction. SmartVault encrypts backups of your documents and their metadata, and then stores these encrypted backups off site. Because of this, any backup media intercepted or lost in transit from smart vault to the secure, off-site facility is non recoverable by eavesdroppers.

ATG is also FINRA compliant.  Your documents and metadata are always stored in redundant, replicated storage. After documents are uploaded into our system multiple copies are stored through the SmartVault system both on site and off site. This is done to ensure data accessibility and data recoverability while maintaining the highest levels of privacy. And remember all of your communications with ATG are  protected by the attorney-client privilege which is the strongest privilege in the law and offers the highest degree of confidentiality.

Brandon’s expertise also extends to overseeing transactional law related to international commodities transactions. In this role, he serves as a pivotal figure in assessing the often-complex web of trade regulations, contracts, and negotiations, all related to the handling of sensitive information ranging from agricultural products to energy resources, and rare earth or critical minerals.
